LIL MARKETPLACE TERMS OF USE


INTRODUCTION
Welcome to the Lil Marketplace website (“LMP” or the “Site”), a social networking and e-commerce platform that allows you (the "Member" or "you") to buy and sell goods and services, and interact with other Members. Please read the following important terms and conditions (the "Agreement") carefully. These terms and conditions govern your access to and use of the Site, including any content, information, products or services therein.

By using the lilmarketplace.com Site or establishing a Lil Marketplace account and using the Lil Marketplace service (the "Service"), you agree to be bound by the following Agreement, whether you are a visitor/unregistered member or registered member (including, but not limited to buyers and sellers).
 
ACCEPTANCE OF THESE TERMS OF USE
Your access to and use of this website is subject to this Agreement, Lil Marketplace’s Privacy Policy, notices, disclaimers and any other terms and conditions or other statements contained on this Site and, if you use any of the services identified on the Site for which additional or alternative terms and conditions are referred to, those additional terms and conditions for those other services (referred to collectively as the “Agreement").

By accessing, viewing or otherwise using this Site, you agree to be subject to the Agreement. Should you object to any aspect of the Agreement, any guidelines, or any subsequent replacement or variation thereto or become dissatisfied with the Site in any way, your only recourse is to immediately discontinue use of the Site.

VARIATION, AND MODIFICATION
LMP may, at its sole discretion, vary or modify the Agreement for any reason at any time, with or without notice and effective immediately. Any subsequent access to, or use by you of the Site will constitute an acceptance of those variations or modifications.

PROVISION OF DOCUMENTS
Your continued use of the Service or the Site after any such variations or modifications constitutes your acceptance of the new Agreement. If you do not agree to abide by these or any future Agreement, please do not use or access (or continue to use or access) the Service or the Site. You agree that where LMP is required, by law or otherwise, to provide you with a document, you consent to the provision of that document electronically through the links on this Site. We suggest that you print a copy of the document, or file it electronically, for future reference.

LIL MARKETPLACE IS A VENUE
Lil Marketplace acts as a venue to allow independent buyers and sellers who comply with these terms and conditions, to offer, sell, and buy products through the Site (each a “Transaction”). Individuals and independently-owned businesses (“Merchant” or “Shoppe Owner”) can sell products that comply with the LMP Selling Guidelines.

Merchants are allowed to create a Shoppe based on style, design, quality, and professionalism. The Site is not responsible for any user or Merchants representation. Each Shoppe Owner may adopt their own separate entity with it's own reasonable terms, agreement and policies that governs items in their Shoppe, which must comply with these terms and conditions.

You acknowledge that the Site is not involved in the actual transactions between buyers and sellers and does not transfer legal ownership of items from the sellers to buyers. As a result, LMP has no control over the quality, safety, morality, integrity, legality, the truth or accuracy of the listings or any other aspect of the items advertised. The Site does not guarantee the ability of Sellers to sell the items, the ability of Buyers to pay for the items, or that a transaction will actually consummate. Therefore, you will not hold the Site responsible for the actions or inactions of any buyer or any seller on the Site.

WEBSITE ACCESS
LMP grants you permission to use the Site subject to and conditional upon your strict compliance with this Agreement. Member registration is free. Registration is not required to search products, shoppes or members. In order to access a variety of features, services and functions, such as, but not limited to, contacting other members, posting comments or ratings, creating a shoppe, and buying and selling items, you are required to create an account.

When creating your account:

  • You verify that you are not a minor (persons under the age of 18) and are able to form legally binding contracts under applicable laws.
  • If you are under 18, you must verify that you are using the site with the permission of (and under the guidance of) a resonsible parent or guardian.
  • You must provide accurate, current and complete information.
  • You will be responsible for any use and maintenance of your account.
  • You must keep your account password secure.
  • You must notify LMP immediately of any breach of security or unauthorized use of your account.
  • You must not use another person’s account without permission.

LMP is not liable for any losses or damages caused or contributed to by any use (including unauthorized use) of your account. However, you will be liable for the losses or damages of LMP or others due to such use (including unauthorized use). LMP Services are not available to persons who are temporarily or indefinitely suspended Lil Marketplace Members. Furthermore, your LMP account and member ID may not be sold, transferred or sold to another party. If you are registering as a business entity, you represent that you have the authority to bind the entity to this Agreement. We reserve the right to delete accounts that have not completed the registration process or inactive accounts. We reserve the right to refuse registration and service to anyone for any reason at any time.

YOUR PRIMARY OBLIGATIONS
You must update and maintain the accuracy of any information you submit to LMP, including a valid email address. You are solely responsible for all use of your account and for any actions that take place using your account.

You must not, other than as may be reasonably necessary to use the Site for its intended purpose:

  • copy, publish, display, perform or distribute any part of the Site in any medium without LMP's or the content provider's prior written authorization;
  • alter or modify any part of the Site; and
  • solicit any users of the Site.

You must otherwise strictly comply with this Agreement. Any violation of this Agreement will result in the termination of your Lil Marketplace account.

LIL MARKETPLACE DOES NOT TOLERATE:

  • Any abuse, harassment, threats, impersonation or intimidation other users.
  • The use of the LMP Service for any illegal or unauthorized purpose.
  • Transmittal any worms or viruses or any code of a destructive nature.
  • Giving misleading or misrepresenting information.
  • Spamming or Hacking.
  • Infringements upon any other third party's copyrights, patents, or trademarks.
  • Hosting images not part of a listing.
  • Using photos, images, or logos belonging to Lil Marketplace, without written authorized consent.
  • Fraudulent or the sale of stolen goods.
  • Obscenities, indecencies, or child pornography.
  • Any fake, misrepresented, or counterfeit items.
  • Sexually perverted/graphic, offensive material/images, or religious defamation.
  • Violating any enforced food regulations.
  • Any content, items or services in violation of third parties policies.

Violation of any of these terms and conditions will result in the termination of your account. While the Site prohibits such conduct and content on the Site, you understand and agree that the Site is a venue and is not responsible for the content posted therein, and you may be exposed to such materials. Therefore, you agree to use the Lil Marketplace Service at your own risk.

MERCHANT/SELLING
Registered members can create an online store (a “Shoppe”) in order to buy and sell goods and services. Merchants are the sole properietor of their Shoppe and are held responsible for all items listed in their Shoppe, and the content therein. Items must be listed in an appropriate category. You must be legally able to sell the item(s) that you feature on the Site. You must accurately and completely describe your item and all terms of sale on the listing page of the Site. The photos, tags, content of the listing, graphics, pictures, title, price and other content must only be relevant to the sale of that item. If the in stock quantity is more than one, all items in that listing must be identical. Each item must have its own listing. LMP reserves the right to delete items if an infringes legal regulations, this Agreement, or the principle and rules of the Service.

PRODUCTS AND TRANSACTIONS
Each Merchant represents and warrants that it and all items offered through the Site will be in compliance with all applicable local, state and federal laws and regulations, including, without limitation, product safety and industry-specific laws and regulations. Merchants and Buyers agree and acknowledge that they are responsible for all applicable taxes related to any and all Transactions. Lil Marketplace does not collect or remit sales tax on behalf of Merchants, and each Merchant agrees to indemnify and hold Lil Marketplace harmless from and against any liability for sales tax associated with any of the Merchant’s Transactions. All Transactions are subject to this Agreement. By engaging in any Transaction, you acknowledge that you have reviewed and agree to comply with these Terms Of Use.

SHOPPE POLICIES
All Merchants are required to outline individual store policies (the “Shoppe Policy”). These policies include, but not limited to, shipping/handling, returns/refunds, payment, and selling policies. Sellers must create these policies in good faith and must abide by such policies. LMP reserves the right to remove, revise or otherwise modify a Shoppe Policy if there appears to be a concern or inconsistency.

BINDING SALES
All sales are binding. If you, as a seller, receive a purchase request (order), you are obligated to complete the transaction with the buyer in a prompt manner, unless there is an exceptional circumstance, such as: (a) the buyer fails to meet any terms of your listing, or (b) you cannot authenticate the buyer's identity.

If you, as a buyer, receives a purchase invoice, you are obligated to complete the transaction with the seller in a prompt manner.

FEE STRUCTURE
Unless otherwise stated, all monetary values are quoted in U.S. Dollars (USD).

You are responsible for paying all applicable fees, taxes and duties and for all costs you incur as part of the lilmarketplace.com Service. We may, at our sole discretion, change some or all of our Services, the Site's Fee Structure, and/or the fees or sales commission for our Services.

When a purchase transacts on the Site, a sales commission is charged to the seller. If you choose to sell products on the Site, you must provide current credit card information, in which to pay your seller fees. Monthly invoices for such fees are issued in electronic format to your email address. Merchants are not permitted to bypass the Site fees and sales commission. Monthly fees are charged per transaction.

The Fee Structure may change at any time, and any change will be effective after LMP provides you with at least fourteen (14) days notice by posting the changes on the Site or via Email. We may choose to temporarily change the Fee Structure for promotional events (for example, reduced rate promotions) and such changes are effective when we announce the temporary promotional event on the Site. Such promotional events shall not apply to any listings on our Site at the time of the announcement. We may, in our sole discretion, change some or all of our services at any time. In the event we introduce a new service, the fees for that service are effective at the launch of the service.

TRADEMARKS
Lil Marketplace logos, designs, graphics, scripts and service names are registered and unregistered trademarks, and may not be used as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion, and may not be copied, imitated, or used, in whole or in part, without LMP's prior written authorization.

LINKS TO OTHER WEBSITES
The Site may contain links to other websites (“Third Party Sites”), which are independent of LMP. LMP makes no representation or warranty as to the accuracy, completeness or authenticity of the information contained in any such site. Your linking to any other website is at your own risk.

By using the Site, you hereby release LMP, its officers, employees, agents and successors from all claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to your use of any Third Party Site. Accordingly, we encourage you to read the terms and conditions and privacy policy of each other website that you visit.

THIRD PARTY CONTENT, SITES, AND SERVICES
The Site may contain features and functionalities that may link you or provide you with access to Third Party Site content which is independent of LMP, including websites, directories, servers, networks, systems, information and databases, applications, software, programs, products or services, and the Internet as a whole.

Your interactions with organizations and/or individuals found on or through a Third Party Site, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties.

PRIVACY AND INFORMATION DISCLOSURE
LMP has established a Privacy Policy to explain to users how their information is collected and used.

Your use of the Site signifies acknowledgement of and agreement to our Privacy Policy. LMP may, in its sole discretion, preserve or disclose your information, such as email addresses, IP addresses, timestamps, and other user information, if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to:

  • comply with legal process;
  • enforce these Terms of Use;
  • respond to claims that anything you do violates the rights of third-parties;
  • respond to claims that contact information (e.g. phone number, street address) of a third-party has been posted without their consent or as a form of harassment;
  • protect the rights, property, or personal safety of LMP, its users or the general public.

NO SPAM POLICY
You must not send unsolicited email advertisements to the Site's email addresses or through the Site.

USER DISPUTE
You are solely responsible for your interactions with other LMP users or members. LMP reserves the right (but not the obligation) to monitor disputes between you and other users. In the event of any concern, LMP retains the right to get involved in trying to resolve a dispute, but is in no way obligated to resolve a dispute.

LMP is not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on the Site, or between users and any third party, LMP is under no obligation to become involved. If you have a dispute with one or more other users, you hereby release LMP, its officers, employees, agents and successors from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes on the Site.

TERMINATION OF SERVICE
LMP, in its sole discretion, reserves the right (but not the obligation) to remove, refuse any item, picture, or posting provided by you, or delete or deactivate your account, block your email, or otherwise terminate your access to or use of the Site (or any part thereof), immediately and without notice, and for any reason (including, without limitation, if LMP believes that you have acted inconsistently with these Terms of Use) or for no reason at all. LMP shall not be liable to you or any third-party for any termination of your access to the Site or anything else done under this paragraph.

Any such termination is without prejudice to all other remedies available to LMP at law and under these Terms of Use. You must not attempt to use the Site after any such termination. The provisions of these Terms of Use survive termination.

SUBMISSIONS
You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about LMP or the LMP Site ("Submissions"), provided by you to LMP are non-confidential and shall become the sole property of LMP. LMP shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

CONTENT LICENSE
Lil Marketplace does not claim any ownership rights in the content that you post (“User Content”) on or through the Site. When you provide us with User Content, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to exercise the copyright, publicity and database rights (but no other rights) you have in the content, in any media known now or in the future. You may remove your User Content from the Site at any time. If you choose to remove your User Content, the limited license granted above will automatically expire.

PRIVACY POLICY
Lil Marketplace takes great care in the privacy of our Members. Use of the Site is governed by our Privacy Policy.
